License Terms

Last updated on September 22, 2026.

We're MPQV Group LLC, doing business as Gallium Digital ("Gallium Digital", "we", "us", or "our"), a Texas limited liability company. These License Terms are the license for our desktop application Modern CSV (the "Application"). They grant a license to use the Application; they do not transfer ownership of the software. For purchases made through Paddle, the purchase contract is with Paddle, not with us. For purchases completed through other channels we expressly offer, we are the seller of the License, as described in the Terms.

Purchases, payment, tax, invoices, and refunds are governed by our Terms and Conditions (the "Terms") and, for most paid orders, by Paddle as Merchant of Record. Our Refund Policy describes the 30-day money-back guarantee. This document does not change those rules.

By downloading, installing, copying, or running the Application, you agree to these License Terms. If you do not agree, do not install or use the Application. A paid License is granted only after a qualifying purchase is confirmed, as described below.

How These License Terms Relate to the Terms

These License Terms are part of your agreement with us. They are incorporated into the Terms by reference. Together they, our Refund Policy, our Privacy Policy (including our Cookie Policy), License details on the applicable product page at the time of purchase, and any mandatory pre-contractual information form that agreement.

If these License Terms and the Terms conflict about the scope, duration, assignment, or permitted use of a License, or about the effect of a chargeback, refund, or non-payment on a License, these License Terms control. If they conflict about a purchase transaction, payment, billing, taxes, invoices, cancellations, refunds as a payment matter, or Paddle's role, the Terms control (and Paddle's terms control those purchase matters as stated in the Terms).

Warranties, limitations of liability, indemnification, governing law, and dispute resolution for your relationship with us are in the Terms, including the statutory-rights carve-outs there.

The Application Is Licensed, Not Sold

Completing a paid purchase does not transfer ownership of the Application or any intellectual property in it. After a qualifying purchase is confirmed — by Paddle, for a Paddle purchase, or by us, for a purchase through another channel — we grant you the License described in this document and on the applicable product page at the time of purchase.

A license key identifies the License and unlocks the licensed features locally in the Application. Modern CSV license keys work offline and do not require online activation or periodic contact with our servers. The key is not a separate product we sell to you, and it may be used only as permitted by the License type you purchased.

If you lose your license key, contact us using the details at the base of this document. We issue and replace license keys. Paddle does not issue or replace them.

Paid Modern CSV licenses are one-time purchases of a License for the current major version of the Application at the time of purchase. Premium licenses do not expire for that major version. They do not transfer ownership of the software.

The assigned user may install and use the Application on as many devices and platforms as they reasonably need for their own use, at home, at work, or elsewhere, provided the License remains assigned only to the permitted user as described below.

Free Version

If you use the Application without a paid License, you may use only the features included in the free version then made available. We may change free-version features at any time.

Premium Personal License

A Premium Personal License is assigned only to the individual named on the License and cannot be transferred to any other person. It lasts for the life of the licensed major version and does not expire for that version.

Premium Business License

A Premium Business License may be assigned to one user at a time. The License owner — the person or organization identified on the License — may reassign it to a different person, for example when an employee leaves or in a lab or similar setting where users change. You must hold at least as many Business Licenses as your maximum number of concurrent assigned users. A Business License lasts for the life of the licensed major version and does not expire for that version.

Version Coverage and Upgrades

A paid License applies to the Application's current major version at the time of purchase, including free minor-version updates to that major version (for example, 2.0 to 2.1). A new major version (for example, version 2 to version 3) may be offered separately. Unless we state otherwise at the time, a License purchased within 90 days before a major-version release includes that major version at no additional charge. Otherwise, we may offer an upgrade for a discounted fee. We are not obligated to release any future version or feature.

What the License Does Not Include

The License is non-exclusive and non-sublicensable. Except for permitted reassignment of a Premium Business License, it is non-transferable. You may not sell, rent, lease, share, or pool a Personal License, or use any License on behalf of an unlicensed third party. All rights not expressly granted are reserved by us.

You may not decompile, reverse-engineer, disassemble, or otherwise attempt to derive the source code of the Application, except to the extent applicable law does not allow us to prohibit that. You may not modify the Application or create derivative works of it or its documentation, including translations, or alter the main executable, except as applicable law requires us to allow.

Other acceptable-use rules in the Terms also apply to your use of the Application and our Services.

Suspension, Termination, Refunds, and Chargebacks

We will not terminate a valid, paid-up License for the features included with that License at the time of purchase solely because we later change our product lineup or discontinue the Application. We may still suspend or terminate a License for breach of these License Terms or the Terms, non-payment, refund, legal requirement, or security reasons, subject to applicable law and the chargeback provisions below.

Initiating a chargeback or payment dispute does not by itself terminate your License. Where fraud or abuse is reasonably suspected, we may temporarily suspend the affected License while the matter is investigated. For a Paddle purchase, that investigation is in accordance with Paddle's Buyer Terms and applicable law. If the investigation does not establish fraud or abuse and the payment remains valid, we will lift that suspension. We may terminate the affected License if the payment is finally reversed or refunded, or if fraud or abuse is established. Nothing here restricts your lawful rights to dispute a charge.

If a required payment is not successfully completed, we may withhold the related license key or suspend the related License until payment is completed.

Once a full refund is issued, the License associated with the refunded purchase terminates, as described in the Terms and the Refund Policy. You must stop using the paid features under that License even if the offline license key continues to function. A refund of an upgrade does not by itself terminate any separate, unrefunded License you held before the upgrade.

Suspension or termination affects your permission to use the licensed features, even though an offline license key may continue to function. During suspension, or after termination, you must stop using the features covered by the affected License unless and until your right to use them is restored or you hold another valid License covering that use.

Discontinuation

If you hold a paid-up one-time License and we discontinue the Application or cease operating, your License will remain valid for the licensed major version, subject to these License Terms and the Terms. Your existing license key will continue to work offline without our servers or an online activation service. We will give at least 30 days' notice of discontinuation where reasonably practicable.

You should retain a copy of your license key and the installer for the version covered by your License so you can reinstall it on compatible devices. After discontinuation, downloads, updates, and support may no longer be available, except where applicable law requires otherwise. Continued offline licensing does not guarantee compatibility with future operating systems or hardware. Discontinuation does not limit any refund rights under the Guarantee, Paddle's terms, or applicable law.

Your Files

Files you open, edit, or export in the Application remain on your devices unless you choose to send them to us. We do not claim ownership of your data files. You do not need to credit us when you publish or share that content.

Changes

We may update these License Terms in the same way we may update the Terms, as described in the "Changes to Our Terms" section of the Terms. For that purpose, references in that section to "these Terms" include these License Terms. Material changes may require you to re-accept them to continue using the Application.
